These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("Customer", "you") and Epsylon Systems LLC ("Epsylon", "we", "us", "our") governing your access to and use of LeadsPredict AI-powered prospect scoring services (the "Service").

1. Company Structure & Contact Information

• "Service" means LeadsPredict software, API, and related services
• "Customer Data" means data submitted to the Service by Customer
• Governing Law: Laws of the State of New Mexico
• Arbitration Venue: Albuquerque, New Mexico

• You must provide accurate, current, and complete information during registration
• You are responsible for safeguarding your account credentials
• You must notify us immediately of any unauthorized access or security breach
• We reserve the right to refuse service to anyone at our discretion
• One account per business entity; multiple accounts may result in suspension

4. Acceptable Use Policy

You agree not to, and not to allow third parties to:

• Use the Service for any illegal purpose or in violation of any laws
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to transmit malware or engage in malicious activities
• Attempt to gain unauthorized access to the Service or related systems
• Use the Service in a manner that could interfere with other users
• Submit false, misleading, or fraudulent information
• Violate third-party intellectual property rights
• Use automated scripts or bots without written authorization

6. Subscription Terms & Billing

• All fees are payable in advance and generally non-refundable
• Subscriptions automatically renew unless cancelled 30+ days before renewal
• Late payments may incur interest at 1.5% monthly or maximum legal rate
• Price changes communicated with 60 days notice for existing customers
• Customer responsible for all applicable taxes and regulatory charges
• Payment methods: Credit card, ACH, wire transfer (Enterprise only)

7. Trial Periods & Promotions

• Free trials offered at our discretion and may be modified or terminated
• Trial conversion to paid subscription occurs automatically unless cancelled
• Promotional offers cannot typically be combined
• We reserve right to limit or revoke promotional benefits
• One trial per business entity; abuse of trials may result in account suspension

8. Third-Party Platform Integrations

The Service integrates with various third-party platforms (Salesforce, HubSpot, VoxAgent, AvatarTrain, etc.). Your use of integrations is subject to the respective third-party terms. We assume no liability for third-party services, performance issues, or data incidents. We may discontinue integrations with reasonable notice.

9. Intellectual Property Rights

• Epsylon retains all intellectual property rights in the Service and related materials
• Customer maintains ownership of their submitted data
• Customer grants Epsylon limited license to process data for Service delivery
• No intellectual property rights are transferred under these Terms
• You may not use our trademarks, logos, or branding without written permission

10. Confidential Information

Both parties agree to protect each other's confidential information using reasonable security measures and not to disclose except as necessary for these Terms or required by law. Confidential information includes business strategies, customer lists, technical data, and proprietary algorithms.

11. Data Protection & Privacy

We process personal data according to our Privacy Policy. Our global operations maintain consistent data protection standards through contractual and technical safeguards. We are compliant with GDPR, CCPA, and SOC2 standards. For detailed information on data handling, see our Privacy Policy.

You agree to indemnify and hold harmless Epsylon, its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, and expenses (including reasonable attorney fees) arising from your use of the Service in violation of these Terms or applicable laws, or your infringement of third-party rights.

15. Service Suspension & Termination

• We may suspend access for payment issues, security concerns, or legal requirements
• Termination for material breach requires 30 days written notice and cure period
• Service access ceases immediately upon termination
• Data retention follows our data retention policies and legal obligations (30 days post-termination)
• Upon termination, you must cease using the Service and delete all copies of our software

16. Terms & Service Modifications

We may modify these Terms or the Service with 30 days advance notice via email or in-app notification. Continued use after modifications constitutes acceptance. Material adverse changes allow termination within 30 days of notice for pro-rated refund. We will maintain archives of prior Terms versions.

17. Governing Law & Legal Venue

These Terms are governed by New Mexico law, excluding conflict of law principles. The UN Convention on Contracts for the International Sale of Goods does not apply. Any litigation must be brought in courts located in Albuquerque, New Mexico. For international customers, local consumer protection laws may also apply.

19. Class Action Litigation Waiver

Both parties waive rights to participate in class actions, class arbitrations, or representative actions to the fullest extent permitted by applicable law. This does not affect rights that cannot be waived under applicable consumer protection laws.

20. Export Control Compliance

You agree to comply with all applicable export control laws, regulations, and economic sanctions (US, EU, UN). Service use is prohibited in or by embargoed countries (Cuba, Iran, North Korea, Syria, Russia, Belarus) or sanctioned parties. You certify you are not on any government denied-party list.

21. Force Majeure Events

Neither party is liable for failure or delay in performance due to circumstances beyond reasonable control including natural disasters, war, terrorism, strikes, pandemics, government actions, or major service disruptions (AWS, internet infrastructure). Performance obligations are suspended during force majeure with resumption when practicable.

22. Complete Agreement & Severability

These Terms represent the complete agreement between parties, superseding all prior agreements. If any provision is invalid or unenforceable, the remaining provisions continue in full effect. Any waivers must be in writing. Headings are for convenience only.

23. Assignment Rights

Customer may not assign these Terms without our written consent. We may assign these Terms in connection with corporate reorganization, merger, acquisition, or asset sale. Any attempted unauthorized assignment is void.

24. Official Notices

Notices must be sent to the email associated with your account or to legaldepartment@epsylonsystems.com for Epsylon communications. Notices are deemed received 24 hours after email delivery or 3 business days after postal mail. You must keep your contact information current.

25. Survival of Terms

Provisions that by their nature should survive termination will survive (including Sections 9, 11, 12, 13, 14, 17, 18, 19). Accrued rights and obligations survive termination.
